Reseller Pricing Program Terms and Conditions

The Name.com Reseller Pricing Program (the "Program") is operated by Name.com, Inc., including its affiliates and subsidiaries (“Name.com”, “we”, or “us”) and enables certain Name.com resellers to obtain discounted pricing on Qualifying Products, as defined below. Your use of and participation in the Program constitutes your agreement to these terms and conditions (“Program Terms”) and the Name.com Registration Agreement (“Registration Agreement”), including its Dispute Resolution Policy, which are incorporated by reference. Capitalized terms used but not defined herein shall have the same respective meanings given to them in the Registration Agreement. We may modify or cancel the Program or any of the features of the Program without notice, unless otherwise explicitly stated. To the extent permitted by applicable law, we may also modify these Program Terms at any time and your continued use of and participation in the Program following the effective date of any such changes shall constitute your acceptance of such changes.

1. Overview:

   To participate in the Program and obtain the Program’s associated discounts and benefits, you must meet and maintain certain spending requirements (the “Minimum Spend Requirements”) on certain Name.com products (“Qualifying Products”) and number of new domain create registrations, excluding renewals and transfers (the “Minimum Domain Registrations”). The Program has three different tiers for eligible participants: Bronze, Silver, and Gold. The Minimum Spend Requirements and Minimum Domain Registrations for each tier are set out below (the amounts will always be computed in USD, regardless of the currency you use):
   • Bronze: $1,000 and 100 domain registrations
   • Silver: $2,500 and 250 domain registrations
   • Gold: $10,000 and 1,000 domain registrations

2. Requirements and initial enrollment:

   To enroll in the Program, you must meet both the Minimum Spend Requirements and Minimum Domain Registrations. In determining whether you meet the Minimum Spend Requirements, Name.com will review both (i) your spend on Qualifying Products from the last 365 days, and (ii) your Account credit (the sum of which, your “Qualifying Total”). In determining whether you meet the Minimum Domain Registrations, Name.com will review the number of new domains you’ve registered with Name.com within the last 365 days (“Qualifying Registrations”). Your Qualifying Total, along with your Qualifying Registrations, determine the tier in which you will receive discounts on Qualifying Products. For example, if your spend on Qualifying Products from the last 365 days at the time of enrollment and your Account credit at the time of enrollment totals to $7,000, that amount will count as your Qualifying Total. In addition, if you’ve registered 300 domains within the last 365 days, that number will count as your Qualifying Registrations. Therefore, you will receive Silver tier Program Discounts on purchases of Qualifying Products for the following year.

   You may join the Program online at name.com/resellersolutions or other channels as may be designated by Name.com. Eligibility determinations are made at the Account level only. If an individual or entity has multiple Name.com Accounts, Name.com will not aggregate the credit spend and/or credit from multiple Accounts to determine whether the Account owner(s) is/are eligible for the program.

   You may receive the Program Discounts for your tier for one (1) year beginning on your enrollment date (“Anniversary Date”). You may continue to benefit from promotional pricing that may be in effect and applicable at the time you purchase a Qualifying Product. At any given time, you may receive the lower of promotional pricing or Program Discounts.

3. Maintaining Your Eligibility:

   Every year at 11:59pm MST on your Anniversary Date (“Annual Review”), Name. com will review your Qualifying Total and Qualifying Registrations. If your Qualifying Total and your Qualifying Registrations during the Annual Review keeps you in your current tier, you will be eligible to receive the Program Discounts for another year. If your Qualifying Total or Qualifying Registrations during the Annual Review fall below the Minimum Spend Requirements or Minimum Domain Registrations in your tier, you will automatically move to a corresponding lower tier and receive the Program Discounts based on that tier.

   At any time, you may increase your Qualifying Total and Qualifying Registrations to qualify for higher tiers. Name.com will notify you and your Program Discounts will automatically increase based on your new tier. For example, if at the time of enrollment, your Qualifying Total was $5,000 and you had 100 in Qualifying Registrations - a combination that puts you in the Bronze tier - you may at any time increase your Qualifying Registrations to at least 250 and therefore qualify for Silver tier discounts. iIf your Qualifying Total at the time of enrollment was $7,000, but only $2,000 remains during your Annual Review, you will be moved to the Bronze tier (independent of whether or not you meet the Minimum Domain Registrations for your tier, and vice versa), but you may at any time move back to the Silver tier (or higher) by increasing your Qualifying Total and/or Qualifying Registrations, as needed. You may keep track of your Account’s status and performance through your Account dashboard.

4. Program Changes And Terminations:

   In the event that Name.com changes the Minimum Spend Requirements and Minimum Domain Registrations, Name.com will give you at least 30 days’ notice. In the event that any change in Minimum Spend Requirements qualifies you to a higher tier, you will be automatically enrolled to the higher tier. In the event that the change in Minimum Spend Requirements puts you in a lower tier, you will maintain your existing tier until your Anniversary Date, plus 30 days (i.e., your Anniversary Date will move by 30 days). Other Program Terms are subject to change at Name.com’s sole discretion and without notice.

   Name.com reserves the right to determine the eligibility of any individual or entity and disqualify them or terminate their participation in the Program. Name.com is the sole arbiter of eligibility and these requirements and rules. Name.com reserves the right to adjust your tier in its sole discretion at any time.
